Effective Date: July 1, 2026
These Terms and Conditions (“Terms”) govern the provision of design services by CA CREATIVE SIA (“we,” “us,” or “CA Creative”) to you (“Client” or “you”). By engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. B2B Confirmation
These Terms apply exclusively to business clients (B2B relationships). Our services are provided solely for commercial or professional purposes and not for personal, household, or consumer use. If you are acting as a consumer (an individual outside your trade, business, profession, or employment), different consumer protection laws may apply — please contact us before proceeding with any plan or project, as these Terms may not govern such engagements.
2. Company Information
CA CREATIVE SIA is a digital design agency registered in Latvia with registration number 40203260345. Our registered address is Audeju iela 15-4, Riga, LV-1050.
3. Services
We provide digital design services, including but not limited to digital product design (web apps, dashboards, and interfaces), websites, mobile apps, and other custom designs. Services are delivered through monthly plans, custom projects, or one-off engagements as outlined below. We offer a design request platform (“Platform”) for Clients to submit and manage design requests, generate reports, and handle payment details. Access to the Platform is provided once your plan begins and is subject to these Terms.
All designs are created based on Client specifications submitted via the Platform. We aim to deliver high-quality work but do not guarantee specific outcomes or results from the use of our designs.
4. Plans and Services
We offer the following: a Starter plan, a Pro plan, and a one-off UX audit. The Starter plan is billed monthly in USD, EUR or GBP and paid upfront upon initiation.
Pro plans are bespoke and the terms will be different for each client.
The UX audit is a one-off, fixed-scope project, paid in full upfront. It includes a review of one feature or flow of the Client’s choosing, an interactive prototype of the proposed improvements, and a video walkthrough of the findings. It does not renew.
How to request
Once onboarded, your company account will be created on our design request platform – ManyRequests.com. Here you can submit your requests and track progress easily.
Each request is broken down into phases to show how far along it is and if client feedback is required.
Requests – Starter
“Unlimited requests” simply means that there is no upper limit to how many requests you can make and get fulfilled every month. The limiting factor for the “Starter” plan is that requests can only be processed one at a time, which means that the size of your requests matters a lot.
For example, if you want a web app designed from scratch, it might take one or more months on the “Starter” plan to complete this one request (depending on the complexity of the app).
Alternatively, if you have several small requests (e.g. several modals or basic pages) they can be fulfilled very quickly and you can even submit more requests that month.
There are other factors that affect how quickly we can process a request, for example, the lack of brand guidelines or confusing briefs can increase timescales. We have guidance for creating briefs on our project management platform.
The Starter plan also has unlimited tweaks.
Communications
Clients submit all design requests and feedback on the Platform. Feedback can also be submitted in the appropriate design tool (e.g. Figma) via the comments functionality.
We submit designs and respond to feedback on the Platform. We reply to specific comments in the appropriate design tool.
For the Starter plan, an optional weekly 30-minute call is available.
5. Payment Terms
Starter plan
All payments are processed via the Platform and must be made in full upfront. We accept major credit cards and other methods as specified on the Platform. The plan renews monthly unless paused or canceled.
Pro plan
- 50% of the total agreed fee is required as a non-refundable deposit upfront (upon project commencement and acceptance of the brief/quote).
- The remaining 50% is due within 30 days after we issue the final invoice (which occurs upon project completion, final approval, and delivery of all files).
- Late payments (beyond the 30-day period) incur a late fee of 0.10% per day on the outstanding balance, calculated daily from the due date until full payment is received.
- In the event of non-payment or prolonged delay, we reserve the right to suspend or remove the Client’s access to the Platform, any delivered designs/files (including revoking download links, source files, or shared prototypes), and public/portfolio access to the designs (e.g., removing case studies or examples from our website). This does not affect your granted license to use paid-for final designs once the balance is cleared, but continued non-payment may lead to further collection actions.
UX audit
The UX audit is paid in full upfront before work begins.
Late payments on any services (plans or projects) may result in suspension of services until payment is received. You are responsible for any taxes, duties, conversion fees, or other charges applicable in your location.
6. Pausing, Cancellation, and Refunds
Monthly plans can be paused or canceled at any time via the Platform. Pausing suspends services and billing until resumed. Cancellation terminates the plan at the end of the current billing period.
Refunds
Refund requests are considered on a case-by-case basis, taking into account factors such as whether design work has already been started, how much of the billing period has elapsed, and the circumstances of the request (for example, an accidental renewal). Any refund is at our discretion and will be discussed with the Client individually.
You can pause or cancel your plan at any time. The pause or cancellation will take effect on the next planned renewal date.
7. Intellectual Property
Upon full payment, we grant you a worldwide, non-exclusive, royalty-free, perpetual, transferable license to use the final designs for your intended purposes. We retain all rights to preliminary works, concepts, and tools used in creation.
You warrant that any materials you provide (e.g., logos, text, images, references, or other content) do not infringe any third-party intellectual property rights, privacy rights, or other laws, and are properly licensed where required. You indemnify and hold us harmless against any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from or related to your provided materials or any infringement claims connected thereto.
In the event that a final design is found to infringe third-party intellectual property rights (despite our reasonable efforts), our sole liability and your exclusive remedy shall be, at our option, to re-design the affected portion at no additional cost (provided you continue the engagement in good faith) or refund fees paid specifically for that design deliverable. We make no broader warranty of non-infringement.
8. Third-Party Tools and Stock Assets
We may incorporate third-party tools (e.g., Figma, Framer, Adobe Creative Cloud), licensed stock assets (e.g., images, fonts, icons from providers like Shutterstock, Adobe Stock), or other external resources in delivering services. We use commercially reasonable efforts to ensure proper licensing, but we disclaim all liability for any issues arising from such third-party materials, including license expirations, restrictions, or claims by third-party providers. You are responsible for obtaining any additional licenses required for your ongoing or commercial use beyond what we provide. We provide no warranties regarding the availability, performance, or security of third-party tools.
9. Portfolio and Marketing Rights
We are permitted to display and share your designs on our website, portfolio, social media, and other marketing materials. This includes creating case studies showcasing the designs and our work process. If you object to specific uses, notify us in writing within 14 days of project completion; we will consider reasonable requests but are not obligated to comply.
10. Liability and Disclaimers
Our services are provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement (except as expressly stated herein).
CA Creative is not responsible for any losses, damages, or liabilities (including indirect, consequential, or punitive damages) arising from the use or inability to use our designs or services, even if advised of the possibility. This includes, but is not limited to, business interruptions, lost profits, or data loss.
We have no claim to any profits or benefits you derive from our designs.
We are not liable for delays or failures due to events beyond our control (force majeure), including but not limited to acts of God, pandemics, strikes, war, governmental actions, natural disasters, cyber-attacks, or outages/disruptions of third-party platforms or tools we rely on (e.g., Figma, Framer, Adobe Creative Cloud, hosting providers, or internet infrastructure).
Our total liability shall not exceed the fees paid for the specific service in question, except for liability arising from our intentional misconduct or gross negligence.
11. Privacy Policy
We process personal data (e.g., your name, contact details, company information, and any personal data in design briefs) in accordance with Latvian and EU data protection laws, including the General Data Protection Regulation (GDPR). For full details on how we collect, use, store, share, and protect your personal data, your rights as a data subject, and our practices as a data controller, please refer to our separate Privacy Policy. By using our services or Platform, you consent to such processing as described therein.
12. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the engagement. This obligation survives termination.
13. Termination
We may terminate services immediately if you breach these Terms. Upon termination, you must cease using any unfinished designs. No refunds will be issued.
We also reserve the right to terminate our services with 30 days’ notice for reasons other than breach of these Terms. For monthly plans, the date of termination will be on the next renewal date of the plan.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Latvia, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Riga, Latvia.
15. Miscellaneous
- Amendments: We may update these Terms at any time. We will provide at least 30 days’ notice of material changes via email or prominent notice on the Platform. Your continued use after the notice period constitutes acceptance of the changes.
- Severability: If any provision is invalid, the remainder remains enforceable.
- No Waiver: Failure to enforce any right does not waive it.
- Assignment: We may assign these Terms; you may not without our consent.
- Entire Agreement: These Terms constitute the full agreement, superseding prior communications.
- Force Majeure: As expanded in Section 10.
- Indemnification: As set out in relevant sections (e.g., IP warranties).
- Third-Party Services: As disclaimed in Section 8.
- Feedback: Any feedback you provide grants us a perpetual license to use it without compensation.
